Carpets for Profit

For a time I was in the residential rental business. Sometimes I was not as choosey as I should have been when it came to accepting new tenants. Sometimes the new tenants came from a different province, where it wasn’t so easy to check their history.

Tenants moving out were not always happy campers. The building I rented out was not very new. The insulation in the walls was rudimentary. Not all tenants used the furnace sparingly. Some kept their living area as hot as a greenhouse. On occasions, this made for a large heating bill, which they were responsible for paying to me.

On more than one occasion, I nearly had to shovel out the dirt left on the floor of the vacated apartment. The carpets could only take so much abuse. I could clean off the dirt with my carpet cleaner, but holes and wear spots were another matter.

It was time to buy a new carpet for the unit. This was something new for me. I had never replaced a carpet before. I did a lot of measuring of the room where the new carpet was to go. To make the job more challenging there were built in cupboards along the wall of the room, which jetted about half a foot out from the wall. Some very exact measuring was needed.

I took my specifications to the local carpet store. I wanted a low priced non-shag, greyish coloured carpet. The clerk had something that would do the job for about $300.00. The carpet was cut to my measurements and loaded into my car. That was the easy part of the job.

The old carpet had to come up off the floor but it had been glued on so first of all, the floor moulding strips bordering the walls were carefully removed, then the tedious back breaking work began. The old carpet had to be ripped up, and levered, off the floor using a crowbar. That took some time and effort to finish. Then the floor was vacuumed clean of dust, and carpet fragments. The walls and the carpet were measured again to be safe. The pieces that needed cutting out of the sides of the carpet were removed. The carpet was then stretched out to test how it looked in place. It looked like all the measuring had paid off. Everything looked correct.

I had an acquaintance help me with the gluing down of the carpet. With the carpet rolled up and squared off against one wall an edge was glued down. Then little by little, the floor was glued, ahead of the carpet being unrolled. The carpet was stretched out on the glued area on the floor. Surprisingly the carpet laying went quite well. It looked straight against all the walls. We did some walking on the carpet for a few minutes, to be sure it was pressed tight to the floor. In a day or so I had nailed the floor moulding strips back in place. It was a lot of work but made a big difference to the look of the apartment.

Automobile Dealerships - Out of Trust - Tips for Lenders

Out of trust positions do not cure themselves and regardless of past cordiality’s, any situation involving a bad loan could always result in litigation. Accordingly, a lender should immediately begin to position itself in a light most favorable for litigation by always conducting itself in a business like manner. The phrase “business like” means in a straight forward, professional manner.

The lender should decide upon a tentative course of action and then have a meeting with the dealer to discuss the problem and possible solutions. The dealer should be immediately made aware that the lender recognizes the problem, although perhaps not the cause, and that while the parties have a mutual interest in solving the problem their interests will probably conflict at times because each party has a duty to protect its own shareholders; therefore, the dealer should rely upon his or her own advisors (attorneys, accountants, consultants) for advice.

While workout personnel must be as blunt as possible, care must be taken to avoid their actions being construed as “management” or “control” of the dealership’s business. Once the “control” line is passed, the financial institution exposes itself to a variety of legal actions. For its own protection, the lender should have a written internal policies that state:

(1) None of the lender’s employees have either permission or authority to make oral promises to the dealer; Kruse v. Bank of America, 202 Cal. App. 3d 38 (1988).

(2) None of the lender’s employees should ever speak disparagingly about the dealer or the dealer’s advisors; K.M.C. v. Irving Trust Co., 757 F.2d 752 (6th Cir. 1985).

(3) None of the lender’s employees should ever make threats upon which the lender is not prepared to act; State Nat’l Bank of El Paso v. Farah Manufacturing Co. 678 S.W.2d 661 (Tex. App. El Paso 1984).

(4) None of the lender’s employees should divulge to nonmaterial third parties any information concerning the dealer’s financial status, without the prior written consent of the dealer; Rubenstein v. South Denver Nat’l Bank, Case No 86CA0840 (Colo. 1988).

(5) None of the lender’s employees have the authority to make management decisions regarding the day to day operations of the dealer’s business; Lurgen, Liability of a Creditor in a Control Relationship With Its Debtor, 67 Marq. Law Review 523 (1984); Also see: Restatement (Second) Agency, Section 14-0, Comment “a”.

(6) All of the lender’s employees are required to make memos to the file regarding conversations with the dealer and they should be conscious of that fact whenever speaking with the dealer or the dealer’s advisors; the employee should not engage in the kind of conversations or perform the kind of actions that would cause embarrassment to the lender if the information regarding those conversations and actions were to be contained in a written memo to be read by a judge or jury.

(7) The lender must work closely with its own attorney during the entire workout process.

These rules should help ensure a business like atmosphere and a business like approach to resolving the problems at hand and thus increase the probabilities of accomplishing a successful workout.

The lender should make the dealer aware that while the lender has no intention of operating or controlling the dealer’s business, certain basic procedures will be required to protect the lender’s interests amongst which will be reducing agreements to writing.

Having met with the dealer, the lender should permit the dealer an opportunity to seek outside advice. The circumstances of each case will dictate the definition of a reasonable amount of time. Sometimes an hour could be too long, other times a day too short. After deciding upon a time to reconvene, the lender should be prepared at this second meeting to enter into a “COLLATERAL PROTECTION AND SET-ASIDE AGREEMENT” that includes, in addition to the standard contract language regarding default, jurisdiction and term, the following:

(1) Recite the outstanding obligations of the dealer to the lender;

(2) Enumerate the notices given by the lender to the dealer, informing the dealer of the problem and enumerating the dealer’s responses to the notices;

(3) Make demand upon the dealer for full payment of all indebtedness owed the lender, by the dealer and the dealership;

(4) Have the dealer acknowledge, individually and as president of the corporation, both the dealer’s and the dealership’s inability to pay;

(5) Recite any workout arrangements agreed upon between the lender and the dealer, such as additional capital loans and how the proceeds from said loans will be spent, method of pay-back, use of demonstrators, the method agreed upon for handling the out of trust monies, the method to be used with respect to the funds received from continued operations, additional security, if any, by the dealer, or the dealership, the method of handling any future floor-plan advances;

(6) Provide for the lender’s use of a “keeper” at the dealership premises, listing the keeper’s duties and obtaining the dealer’s written consent thereto;

(7) Provide a contingency clause for the lender to take further actions, without notice, in the event the lender’s collateral continues to deteriorate, or in the event the dealer breaches the agreement;

(8) Provide for affirmative covenants of the dealer, with respect to further documentation, method and time of payments to the lender, security of the lender’s collateral, delivery of receipts and collateral and payment of the lender’s expenses, with respect to protection of its collateral.

THE ABOVE COLLATERAL PROTECTION AND SET ASIDE AGREEMENT IS ONLY AN INTERIM TOOL, TO PROVIDE THE LENDER AN INCENTIVE TO PROCEED WITH A WORKOUT PLAN. IT IS NOT THE PLAN ITSELF.

With the above acts accomplished, the lender should make every legitimate effort to have its dealer succeed. A successful workout plan provides good relations not only with the lender’s debtor, but it also establishes a standard in the industry with which other business people wish to become associated. It shows the world the lender knows what it is doing.

As soon as the protection and set aside agreement is signed, the parties should immediately discuss a realistic plan for permitting the dealership to workout of its problems. The resulting plan could be anything from recapitalization to liquidation. The process for developing a plan is covered in another article.

Going Public: The Process for Small and Mid-size Companies to Go Public

It’s the dream of every person who starts a business to some day see it trading in one of the stock exchanges even after they are no longer associated with the company. The first step (#1) is simple since most small company are already incorporated and have a board of directors, so we will start with #2.

Step. #2. Engage a consultant but not before doing a background check. This is a must because the consultant who is supposed to be working for you may be the very person to destroy your dream.

Simply type the consultants name in Google and if nothing comes up, try the brokerage firm they were last associated with, to find out if they have been disciplined, or convicted of some crime by the Securities and Exchange Commission or some other regulatory body.

Many individuals when barred from participating in any securities transaction or from acting as consultants still do so in a stealth manner. Hoping that you will be impressed with their sales pitch and not bother looking into their background.

The reason most consultants do not have websites is because they do not want the regulators to find out that they are involved in stock market related activities.

Regulation D (504) offering: Under the Securities Act of 1933
any offer to sell securities must either be registered with the SEC or meet an exemption. Regulation D provides three exemptions from the registration requirements, allowing smaller companies to offer and sell their securities without having to register the securities with the SEC.

While companies using a Regulation D exemption do not have to
register their securities and usually do not have to file reports with the
SEC, they must file what is known as a “Form D” after they first sell their securities.

This offering is not exempt from State securities filing requirements.
With an regulation D (504) offering you are permitted to raise up to a
million dollars within a year but there is no minimum amount and in order to go public you must sell to minimum of 35-40 investors at least a round lot (100 shares) each.

Celebrex? Vioxx? Can My Doctor Provide Me With Safe Prescription Painkillers?

The news has been full of the recent FDA findings on a new set of drugs to help relieve pain. These drugs have been approved for re-release, but it is unclear whether Vioxx will be available again and whether physicians will feel comfortable prescribing Celebrex and Bextra for many of their patients.

What happened to Celebrex and Vioxx?

Celebrex, Vioxx, and Bextra are all non-steroidal anti-inflammatory drugs (NSAIDs, pronounced en-said-z), similar to drugs like ibuprofen and naproxen, that are available over the counter (OTC). Celebrex, Vioxx and Bextra, (sometimes called Cox-2 inhibitors) however, use a slightly different method to achieve the same effect as their OTC cousins; this new method was supposed to limit the side effects some people experience on OTC drugs, including stomach and intestinal problems and allergic reactions. It was thought that because these drugs were less likely to cause such problems, they might be safer for patients with painful chronic conditions (like arthritis) to use for long periods of time.

Unfortunately, some studies of Cox-2 inhibitors suggest that while they don’t cause the sorts of side effects of other NSAIDs, they may create a greater risk of myocardial infarction (heart attack) or stroke. For people already at risk for these diseases (including those who have already experienced a stroke or heart problem), taking these drugs over the long run may significantly increase the risk of heart problems.

Now What Can I Do To Get Pain Relief?

Until a final decision has been made on each of these drugs, what can your healthcare provider do to help you with pain management? Here are important pieces of information to think about in determining what next steps to take:

* The Cox-2 inhibitors were not shown to be more effective than other NSAIDs, like naproxen. If you’ve been on or thinking about trying Vioxx or another Cox-2 inhibitor, you may be able to use an older anti-inflammatory drug. Naproxen, one of the older NSAIDs, may be an anti-inflammatory drug that actually lowers heart attack risk.

* Some people started on a Cox-2 inhibitors because they had a stomach ulcer or other risk factors for stomach or intestine bleeding (for example, people on blood thinners), which may be made worse by older anti-inflammatory drugs. For some people who are at risk for bleeding, other options like acetaminophen may be an option.

* There are lots of other medical options. Steroids can be used for shorter periods of time to manage inflammatory pain from diseases like arthritis and lupus. Opioids (drugs that resemble opium), such as oxycodone, codeine, and hydrocodone (Vicodin) can help with pain management, but they can have serious side effects, and some of them can be addictive, so working closely with your healthcare worker is key to determine if these will work for you. In addition, some antidepressants may help with chronic (long-term) pain, though the way this works isn’t yet known

* New procedures may be of assistance to you. Nerve block therapy (in which certain nerves are temporarily anaesthetized) can relieve pain temporarily. “Implantable “technologies, like spinal cord stimulation (SCS) systems and implantable drug delivery systems, do seem to help some people for whom other pain relief methods don’t work.

* If you aren’t getting the relief you need (with or without the use of Cox-2 inhibitors), you may want to consult a pain specialist. Some large hospitals (such as Stanford University) have departments devoted to pain management. The American Board of Pain Medicine and the PainConnection (at painconnection.org) can help you locate a pain specialist who can work with your other healthcare professionals to put a new treatment plan together for you.

The Boston Terrier — A True American Gentleman

The Boston terrier, one of the few breeds that can claim to be truly American, is a lively, curious and smart companion that’s always ready to play. At one time, Boston terriers were actually the most popular breed in the US. Today, they’re still a clear favorite among the thousands of dog lovers who want a medium-sized, intelligent pet.

Because of its Bull terrier or Bulldog background, the Boston (classed with the non-sporting breeds by the AKC) is alert and keen to learn new tricks and jobs. Bostons like children and will play games with them for hours on end. A well-bred Boston isn’t vicious, but pretty able to take care of himself. Boston fanciers like to call this breed the “American Gentleman,” obviously because of his formal, tux-like markings, but also because his personality is gentlemanly and even as well. The Boston’s friendliness, alertness and courage make him an ideal pet and companion dog. Always alert, he’ll also let you know of any strange sounds in the night.

For many families, the Boston terrier is a terrific choice not only because of his compact size and pleasant temperament, but because of his low-maintenance coat. Smooth and short-coated, the Boston goes easy on your carpets and furniture and does well in smaller spaces. It’s good to remember, though, that Bostons don’t take well to extremes in temperature. They’re inside dogs, as their coat affords little protection. On cold days, you may want to get out some warm booties or a coat for your Boston.

A well-bred Boston terrier will look like the active, intelligent, short-headed and short-tailed dog that he is. The ones that conform to type will have symmetrical white markings, ideally against a brindle color. Black with white markings are also conforming, although brindle is preferred.

Bostons come in a variety of sizes. Naturally, some owners prefer the small ones, while others like a more romping, substantial-sized dog. Either one will make a great pet with very little grooming required, all of which can be done at home. Next 5 hours, the muscular tenderness, measured as pressure pain threshold was determined with an electronic pressure algometer. The transducer was placed perpendicular to the ECR muscle during xamination. Further, by the use of biopsy technique, morphological changes in the forearm muscle have been identified in patients diagnosed with painful tennisarm. Nevertheless, it may be speculated that in addition to changes in 9 years in the tendon also muscular changes may be detectable. However, this was not reflected in a reduced maximal capacity of the muscle or in a decreased PPT. Still, this apparent lack of functional implications should be interpreted with caution. All PPT measurements were conducted 7 times at both the pain and the no-pain arm, and the mean value was calculated.
