Motivation is a set of processes that determine individual choices. These processes are influences from families and friends that we receive throughout our life. Going Public: The Process for Small and Mid-size Companies to Go Public

It’s the dream of every person who starts a business to some day see it trading in one of the stock exchanges even after they are no longer associated with the company. The first step (#1) is simple since most small company are already incorporated and have a board of directors, so we will start with #2.

Step. #2. Engage a consultant but not before doing a background check. This is a must because the consultant who is supposed to be working for you may be the very person to destroy your dream.

Simply type the consultants name in Google and if nothing comes up, try the brokerage firm they were last associated with, to find out if they have been disciplined, or convicted of some crime by the Securities and Exchange Commission or some other regulatory body.

Many individuals when barred from participating in any securities transaction or from acting as consultants still do so in a stealth manner. Hoping that you will be impressed with their sales pitch and not bother looking into their background.

The reason most consultants do not have websites is because they do not want the regulators to find out that they are involved in stock market related activities.

Step. #3. If you are not using a securities attorney, ask the consultant to recommend a good one, he will probably know several. A good attorney is critical since you want him to know the process and has done this many times before.

Step. # 4. Have an audit done, this a requirement and must be
done prior to any filing with the Securities and Exchange
Commission. The CEO needs to take an active part in the auditing process since under the new corporate governance
laws the he must affirmed the final audited financials as being
accurate.

Step. #5. The officers and directors of the company must decide what method they are going to use to achieve their goal of becoming a public company. This can be accomplish through
a reverse merger and by doing a Regulation D (504) offering.

A reverse merger is accomplished by the purchase of, and reverse merger into an existing public shell company.
This is inexpensive compared with the conventional initial public offering (IPO), this is also a simplified fast track method by which a private company can become a public company.

Regulation D (504) offering: Under the Securities Act of 1933
any offer to sell securities must either be registered with the SEC or meet an exemption. Regulation D provides three exemptions from the registration requirements, allowing smaller companies to offer and sell their securities without having to register the securities with the SEC.

While companies using a Regulation D exemption do not have to
register their securities and usually do not have to file reports with the
SEC, they must file what is known as a “Form D” after they first sell their securities.

This offering is not exempt from State securities filing requirements.
With an regulation D (504) offering you are permitted to raise up to a
million dollars within a year but there is no minimum amount and in order to go public you must sell to minimum of 35-40 investors at least a round lot (100 shares) each.

This offering is not exempt from the securities Act of 1933 anti fraud provision. (No securities are exempt from this provision).

Step # 6. Have a broker dealer file a form 15c211. Again your consultant will introduce you to a broker who will file the 15c211 and be a market maker in the securities of the company.

Working From Home Is Still A Job
Part One

If you want your home business to succeed, the first thing you have to realize is that this is not a hobby. It is a job, a career, and a vocation. No one else will take it seriously if you do not.

To start with, you must have regular hours of business. Granted, you are the one who sets the hours, but set them you must and don’t allow other people to think that they can be changed at a moment’s notice without good reason. If you want to have different hours on Tuesdays then you do on other day, that’s fine. If you want to work in the early morning or late at night because one of them suits your personality or your family’s needs better, that’s fine too. But you cannot just fit your work into the nooks and crannies of someone else’s life or when you can grab a moment here and there. Your business will not succeed that way.

For instance, if one of the reasons that you are working from home is because you don’t want your child raised in a day care center, that’s a good motivation. But you must schedule your day so that you have the best chance of working without interruption for the time that you need. Give this some thought and figure out what works best for you: If there are two adults in the home, figure out who will be responsible for child care when. If you are a single parent, you may need to do your most intense work in the evening when your child is asleep or, in the case of an older child, when he or she is at school. Sometimes another parent will be glad to trade off time for your two children to have “play dates” at one house or the other so that each of you can have some time that you need for your own work. You will need to be creative about this, but if you are serious about it yourself your family will soon learn that work time is work time for you.

Also, it is important that you do not think that you can just use a corner of the kitchen table as your workspace, in among the peanut butter jars and the flowerpots. This type of atmosphere is not conducive to serious work. You can set up your workspace wherever it is best for you, but consider finding, if you can, space that can be separate from the family’s living quarters - even if that means a decorative screen around your computer area. Psychologically, this will mean a great deal to you in terms of your ability to put yourself in a “work mind set” when you settle down to your home based business. Make the area pleasant and well lighted and set up your workspace so that you can readily reach the tools that you need. Occasionally take inventory of the things that you use most and make sure that you have a good supply on hand and don’t have to dash around looking for something just when things are popping. Again, make sure that your family realizes that this is your work space and that the success of your home based business is important in their lives too, so that they will be less inclined to snitch pens, paper or other items that you depend on finding at hand when you reach for them.

We repeat - others will take your business as seriously as you take it. You are the one to set the tone for success in your work from home business. Take charge of it!

5 Tips For Your Ebay Business

1) Sell at prevailing ebay market prices.

If you try to sell your products for obscenely high rates, you will end you losing profits. If your products aren’t selling, reset the prices to something more reasonable.

2) Sell items that yield higher profit margins.

If you’re selling radios from a dropship source that only yields a 2% profit margin per sale, you are in serious danger of losing money if you have to relist items. The easiest solution to this problem is finding another dropship source with lower prices or selecting another item that will yield a higher profit margin.

3) Improve your auction layout and design.

A poor layout and unprofessional design can easily deter potential customers. If you can’t honestly say that you would be impressed with your own ebay auction template, you should trash it and make a new one. You may want to ask a friend or relative to give you a honest opinion of your template to help you assess where you should put information, pictures, and links (if it is a store template). This can do wonders to improve your conversion rates as an ebay seller.

4) Improve your store policies.

Offer to give your customers a money-back guarantee if they are not satisfied. Many people are weary of shopping on ebay because they have heard of other people who purchased things from less-than-honest ebay sellers. You should go out of your way to provide your customers with consistent store policies–and then to follow through with them when the need arises. This will boost your credibility, bring in repeat sales, and prevent nasty confrontations and negative feedback.

5) Improve your keyword and keyphrase density.

Most people search ebay using either “titles” or “titles & descriptions.” If your title and item descriptions are not packed with highly-searched topics related to your product, you will seriously reduce the amount of potential buyers you could have viewing your auction.

To reiterate–if you want to make money on ebay, you should set reasonable prices, pick items with high profit margins, use a professional auction layout, set and follow consistent store policies, and pack your titles and descriptions with highly-searched keywords.

Raising Entrepreneurs: What to Do When Your Kid is Born to Think Differently

Adolescence brings with it many challenges - for both parents and kids. Young people, still new to the world, are embarking on a journey to discover their passions, joys, and authentic self-images. More often than not, however, their journey more closely resembles an elongated stampede of enraged elephants than it does an innocent soul-searching endeavor. But no one said growing up would be easy.

And there are young entrepreneurs out there who see the world in a truly positive light. Sure, they have their ups and downs like most teenagers, but they are motivated, focused, and want to make a difference.

Who are these kids? How were they raised? What do they have in common with one another? At the risk of making some sweeping generalizations, I will paint the picture of the young, confident entrepreneur - with the knowledge that this over-idealized portrait often comes in many colors and hues.

While entrepreneurship was never common in my family, many young entrepreneurs had experiences early on in life that lead them towards an entrepreneurial path. In general, there are two possible ways young people feel compelled towards entrepreneurship: inspiration and avoidance. Both can act as powerful catalysts for taking action.

In the case of inspired action, the young entrepreneur most likely grew up in an environment where individuality, responsibility, and financial literacy were encouraged. Even if the parent made little money to support his or her child, the underlying message often centered around taking initiative and following one’s own path.

On the other hand, in the instances where avoidance is the primary motivator, the child usually wants to avoid becoming like their primary caregiver, who was most likely a negative influence. Friends of mind who have exhibited this type of motivation often have a very strong drive to succeed, yet, in part, base their motivation on what they don’t want to become - and must overcome even greater adversity in life.

In order to facilitate the spirit of entrepreneurship in your family, there are many steps you can take. While these steps are particularly geared towards entrepreneurship, they apply toward creating any harmonious relationship between parent and child:

-Teach your child in creative, ‘outside-the-box’ ways. In a recent article with 19 year-old CEO Cameron Johnson, he told a story about how his parents gave him stocks - literally, shares in a company - in his stockings for Christmas. There are many ways you can teach your child about financial literacy, entrepreneurship, and individuality.

-Make self-awareness and wealth consciousness the highest priorities. This entails a significant amount of soul-searching. And while many adults are adverse to the concept of change, often letting go of fear and facing your demons can be the most inspirational model for your child. I have a friend who, after years of living in a fear-based reality, she learned to let go and allow herself to forgive and love others. She has never enjoyed better relationships with her children.

-If your kid acts up, stand in your truth. Don’t beat around the bush or overreact. Of course, you want to be sensitive to your child’s feelings and come from a place of authentic compassion. But when it comes down to it, tell it like it is - they’ll appreciate it in the end.

-Give your child ample opportunity to discover independence for him or herself. It’s critically important that your child learns the process of creating one’s own experience of reality from a first-hand perspective. Sometimes this requires being more firm or lenient than one would like. Yet remember that you grew through making mistakes, and so will your child.

If you see your child exhibiting entrepreneurial behaviors, make sure you show your support throughout his or her growth process. And if your kid is struggling to find motivation, don’t worry - as long as you follow the guidelines above, you will instill the characteristics of greatness and, in due time, inspire the leader within.

Is It Worth Paying a Professional Copywriter?

“Article writers wanted: I will pay $3.50 per article. Must be quality writing - no hobbyists!”

No, this isn’t a joke. It’s an actual job advert, posted on a website earlier this year. What’s more, there’s nothing particularly unusual about this advert. It seems that more and more often these days, people expect writers to work for free - or as close to free as it’s possible to get.

So what’s the catch? Well, professional copywriters won’t write for $3.50, which means that the only people who’ll respond to an advert like this will be very people the employer says he doesn’t want - hobbyists.

But what’s wrong with that? Why not go with a hobbyist - a non-professional writer? What can a professional copywriter give you that an amateur can’t?

Here’s what:

1. Time

Let’s think for a minute about how many $3.50 articles a writer would need to produce in order to make anything like a decent amount of money from it. Quite a few. Quite a few hundred, in fact. In order for it to be worth their while, then, the cheap article writer has to be churning them out at the rate of at least a few an hour. They’re not going to spend a lot of time on each article: what would be the point? Even if each article takes them an hour, they’re still earning less than minimum wage, so the article you receive isn’t going to be carefully researched and written: it’s going to be churned out in as little time as possible.

2. Quality

You may think quality doesn’t matter too much. If you’re commissioning articles for a website, you may be tempted to think that quantity is all that matters: the more pages of content and keywords you have, the better your chances of being ranked in the search engines, after all.

Think about why you want a good ranking though? Presumably you want your site to be well-ranked in order to receive more traffic and more sales. Your content, then, is there to lure in people, not search engines. And it’s a fact that most people arriving at a website full of badly-written content will just hit that back button right away.

3. Credibility

There’s no doubt that good quality writing lends credibility to your website or articles, while sloppy writing creates the impression that even you didn’t think your project was worth investing in, so no-one else should either.

4. Skill and Experience

Some people think that anyone who knows how to string a sentence together can call themselves a writer. Not so. A professional copywriter doesn’t just put words on the page: they know the right words to use to gain the reaction you’re looking for from your audience. It takes years of experience to know what works and what doesn’t in terms of website copy. Do you really think someone who’s spent years acquiring those skills will give them away for $3.50?

Of course, it’s up to you. If your main concern is adding content to your site for very little cost, go with the $3 article writers. But if you want to create a high quality website, with content which will pull in visitors and keep them coming back, it could be worth bringing in the professionals.
